Data Processing Addendum (DPA)

This Data Processing Addendum (“DPA”) forms part of the agreement between Explore Innovate Media Digital (EIM Digital) and the client, customer, or user (“Data Controller”). This DPA applies where EIM Digital processes personal data on behalf of the Data Controller.

1. Definitions

• Processing: Any operation performed on personal data.
• Data Controller: The entity determining the purposes and means of processing.
• Data Processor: The entity processing personal data on behalf of the Data Controller.

2. Scope and Purpose of Processing

EIM Digital shall process personal data solely to provide agreed digital media, marketing, technology, or related services and only in accordance with documented instructions from the Data Controller unless required by law.

3. Obligations of EIM Digital

• Process personal data only on documented instructions;
• Ensure confidentiality of authorized personnel;
• Implement reasonable technical and organizational security measures;
• Assist with data subject requests where legally required;
• Notify the Data Controller of personal data breaches without undue delay;
• Delete or return personal data upon service termination unless retention is required by law.

4. Subprocessors

EIM Digital may engage third-party subprocessors subject to appropriate data protection obligations consistent with this DPA.

5. Data Security

EIM Digital maintains reasonable administrative, technical, and organizational safeguards. Absolute security cannot be guaranteed.

6. Data Subject Rights

Where applicable, EIM Digital shall assist the Data Controller in fulfilling obligations related to data subject rights.

7. Governing Law

This DPA shall be governed by the laws of the United States of America, without regard to conflict of law principles.
